At the core of nonprofit governance are three legal duties: care, loyalty, and obedience.
- Duty of Care requires board members to actively participate in decision-making with diligence and prudence. This means reviewing financial statements, asking informed questions, attending meetings consistently, and relying on appropriate experts when necessary. Passive membership is not sufficient; engagement is a requirement.
- Duty of Loyalty mandates that board members act in the best interest of the organization, not in their personal or professional interests. - Duty of Obedience ensures that the organization adheres to its mission, complies with applicable laws and regulations, and operates in alignment with its governing documents.
